Disclaimer for Data Driverz 60-Day Free Offer

This exclusive 60-day free offer is available only to early adopters and is subject to space limitations. Data Driverz reserves the right to end this offer once all available spots are filled. To participate, a signed contract is required.

Terms of the Offer:

1. The first 60 days of service are completely free with no strings attached.
2. After the free period, billing will commence on the 1st of every month. Payments are accepted via ACH or Stripe only.
3. If your service starts after the 1st of a month, your first bill will be prorated accordingly.
4. Participants in this offer are exempt from the standard $1,000 one-time integration fee.

Exclusive Participation Requirements:
This offer is extended to select dealers to assist Data Driverz in improving the platform. As part of this collaboration, participants will be required to engage in weekly, bi-weekly, and monthly meetings to help optimize the platform and ensure their dealership is on track.

Additional Fees:
While Data Driverz waives its integration fee as part of this offer, dealers are responsible for any data integration fees required by their CRM and DMS providers. These fees will be outlined in the contract.

Liability and Performance Disclaimer:

1. Data Driverz makes no guarantees regarding specific performance outcomes or ROI of the platform during the 60-day free trial period or thereafter.
2. Data Driverz will not be liable for delays, interruptions, or errors caused by third-party integrations, including CRM or DMS providers.
3. Dealers acknowledge that the platform is in an improvement phase, and certain features or functionalities may be subject to change during this period.

Indemnification:
Dealers agree to indemnify and hold harmless Data Driverz, its affiliates, employees, and representatives from any claims, damages, liabilities, or expenses arising from:

1. The dealer’s use of the platform or any associated services.
2. Data provided by the dealer that is inaccurate, incomplete, or improperly formatted for integration.
3. Dealer-specific third-party systems or software impacting the platform’s performance.

Limitation of Liability:

1. Data Driverz will not be held liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or related to the use of the platform, even if advised of the possibility of such damages.
2. Total liability under this agreement is limited to the amount paid by the dealer after the free trial period.

Non-Compete Clause:
Dealers participating in the early adopter program agree not to replicate, develop, or assist in developing a similar platform, product, or service that competes directly with Data Driverz during the trial period and for a period of two years thereafter.

Feedback and Intellectual Property:

1. Any suggestions, ideas, or feedback provided by the dealer during the improvement phase will become the sole property of Data Driverz and may be used by the company without limitation or compensation.
2. Dealers acknowledge that the platform, including all software, code, processes, and algorithms, is proprietary and owned exclusively by Data Driverz.

Force Majeure:
Data Driverz is not responsible for delays, interruptions, or failure to perform its obligations under this agreement due to circumstances beyond its control, including but not limited to acts of God, natural disasters, cyberattacks, labor disputes, or governmental actions.

Dispute Resolution:
Any disputes arising out of this agreement will be resolved through mediation or arbitration before resorting to litigation. The venue for arbitration will be [your state], and each party will bear its own costs unless otherwise awarded by the arbitrator.

Dealer Obligations:

1. Dealers are responsible for ensuring they provide access to necessary third-party systems (e.g., CRM/DMS) promptly to avoid delays.
2. Dealers must comply with agreed timelines for feedback and meeting participation to ensure platform optimization. Failure to comply may result in termination of the offer.

Confidentiality:
Both parties agree to keep all shared information confidential. However, Data Driverz reserves the right to anonymize and aggregate dealer data for insights, analytics, and platform improvements.

Cancellation Policy:
Dealers have the option to cancel with a 60-day notice at any time after the free trial period.

By participating in this offer, you acknowledge and agree to the terms outlined above, which are detailed in the contract.
